Master Service Agreement & Privacy Policy

This Master Service Agreement ("Agreement") is entered into by and between ZBT Innovations Private Limited, a private limited company incorporated under the Companies Act, 2013, with its registered office at JP Nagar, Bengaluru, Karnataka, India (hereinafter referred to as "ZeroBill," "Company," "Platform," "We," or "Us"), and the Merchant entity or Sole Proprietor accessing the Services (hereinafter referred to as "Merchant," "Partner," "You," or "Your").
By registering for, accessing, or using the ZeroBill Merchant Platform in any capacity, the Merchant acknowledges that they have read this Agreement in its entirety, understand its legal implications, and agree to be bound by its terms.
PART I — MASTER SERVICE AGREEMENT
1. Definitions and Interpretation
In this Agreement, unless the context requires otherwise, the following terms shall have the meanings ascribed to them:

"Applicable Law" means all applicable statutes, enactments, acts of legislature or parliament, laws, ordinances, rules, by-laws, regulations, notifications, guidelines, policies, directions, directives, and orders of any governmental authority, tribunal, board, or court in India — including but not limited to the Payment and Settlement Systems Act, 2007, the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, the Prevention of Money Laundering Act, 2002, and all rules and regulations framed thereunder.

"Authorised User" means any employee, agent, or representative of the Merchant who is authorised to access the ZeroBill Merchant Panel or Business App on the Merchant's behalf.

"Commercial Addendum" means the specific pricing and commercial terms document signed or agreed to by the Merchant at the time of onboarding, which sets out the applicable Platform Fees, subscription plan, and any custom terms.

"Customer" means the end-consumer who purchases goods or services from the Merchant and uses the ZeroBill Consumer App to receive a digital receipt or make a UPI payment.

"Effective Date" means the date on which the Merchant completes registration and first accesses the ZeroBill Ecosystem.

"Net Settlement Amount" means the total Transaction Amount collected from Customers, minus the applicable Platform Fees, GST, Cashbacks or Discounts borne by the Merchant, and any Penalties or set-offs as described in this Agreement.

"Services" means all products, tools, and features made available to the Merchant through the ZeroBill Ecosystem, including but not limited to the digital receipt system, loyalty and cashback engine, Merchant Dashboard, AI-powered offer generator, automated Google Review prompts, and Customer analytics.

"Transaction Amount" means the total value of a sale made by the Merchant to a Customer and recorded through the ZeroBill Platform.

"ZeroBill Ecosystem" refers collectively to the ZeroBill Business Partner App, ZeroBill Merchant Panel (web dashboard), ZeroBill Software Plugin (POS integration), and the ZeroBill QR Code Stand provided to the Merchant.
2. Scope of Services and License Grant
2.1 License to Use
Subject to the Merchant's continued compliance with this Agreement and payment of applicable Subscription Fees, ZeroBill grants the Merchant a limited, non-exclusive, non-transferable, revocable, royalty-free licence to access and use the ZeroBill Ecosystem solely for internal business operations at the registered store location(s). This licence does not convey any ownership rights in the Platform or any intellectual property therein.
2.2 Services Overview
The ZeroBill Platform provides Merchants with the following core capabilities:
- Zero-Change Digital Receipts: The Platform works alongside any existing billing software (including Busy, Tally, PosBill, Marg, and others). When a Customer scans the ZeroBill QR code and pays, a formatted digital receipt is automatically generated and delivered to the Customer's ZeroBill App — with no change to the Merchant's existing checkout workflow.
- Cashback and Loyalty Engine: The Merchant can configure cashback rates (e.g., a percentage back per purchase) and loyalty point programmes. ZeroBill handles distribution, tracking, and redemption.
- Merchant Dashboard: Provides sales analytics by day, week, and customer segment, including new vs. returning vs. at-risk customer cohorts, average basket size, best-selling items, and campaign ROI.
- AI-Powered Offer Generator: The Merchant describes a business goal (e.g., "increase footfall on Tuesday evenings" or "clear winter stock"), and the AI drafts a targeted offer campaign for the Merchant's approval.
- Automated Google Reviews: Following a successful payment, the Platform automatically prompts the Customer for a one-tap Google review while satisfaction is at its peak, passively growing the Merchant's online reputation.
- Lost Customer Recovery: The Platform monitors visit frequency and flags customers who have not returned within a configurable window, enabling the Merchant to fire targeted re-engagement offers.
- Brand-Sponsored Offers: FMCG, cosmetics, pharma, and other brands may fund cashback offers displayed within the Consumer App at relevant store locations, at no cost to the Merchant's margin.
- Smart Category Reminders: Category-specific automated triggers (e.g., prescription refill alerts for chemists, service due notifications for garages, exam-season pushes for stationery stores) that run automatically once configured.
2.3 Service Availability and Maintenance
ZeroBill strives to ensure 99.9% uptime for its Services. However, the Merchant acknowledges that the Services may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications. ZeroBill is not responsible for any delays, delivery failures, or damage resulting from such problems. ZeroBill reserves the right to suspend the Platform for scheduled maintenance, for which reasonable prior notice will be attempted.
2.4 Integration Obligations
The Merchant agrees to permit the installation of the ZeroBill Software Plugin on their Point of Sale (POS) system or billing computer. The Merchant represents that they have the authority to authorise such installation and that doing so does not violate any warranty or agreement with their existing POS hardware or software provider. The Merchant is responsible for maintaining a stable internet connection sufficient for the Plugin to transmit receipt data to the ZeroBill Cloud in real time.
3. Merchant Representations, Warranties, and Covenants
3.1 Legality of Business
The Merchant represents and warrants that:
- They are duly organised, validly existing, and in good standing under the laws of India.
- They hold all licences, registrations, and permits necessary to conduct their retail business (including, as applicable, Shop & Establishment registration, FSSAI licence, Trade Licence, GST registration, and any sector-specific regulatory approvals).
- All information provided during onboarding, including KYC documents (PAN, GSTIN, bank account details), is true, accurate, and current.
- They shall not use the ZeroBill Platform to sell any prohibited, illegal, or contraband goods or services, including but not limited to narcotics, unlicensed weapons, or counterfeit goods. ZeroBill reserves the right to immediately terminate services and report the Merchant to appropriate authorities if such activity is detected.
3.2 Operational Covenants
The Merchant agrees to:
- Accept Digital Receipts as Primary Records: Treat the ZeroBill Digital Receipt as the primary proof of purchase. In the event of a conflict between a physical printout and the ZeroBill Digital Receipt for the same transaction, the timestamp, item list, and amount data captured in the ZeroBill system shall be considered final and authoritative for dispute resolution purposes.
- Staff Training: Ensure that all checkout staff and cashiers are adequately trained on the use of the ZeroBill QR stand and the verification of transactions in the Business App. ZeroBill shall not be liable for losses caused by untrained staff releasing goods without verifying payment success.
- Active Promotion: The Merchant acknowledges that the effectiveness of the ZeroBill platform is enhanced by network participation. The Merchant agrees to actively display ZeroBill signage at the checkout counter and to encourage Customers to scan the QR code. This is a mutual benefit obligation — a higher scan rate directly increases the Merchant's access to Customer data, cashback utilisation, and Google review volume.
- Accurate Billing Data: The Merchant is responsible for ensuring that the billing data transmitted through the ZeroBill Plugin accurately reflects actual sales. Inflated, fictitious, or manipulated billing data constitutes fraud and will result in immediate termination and legal action.
4. Financial Terms, Settlements, and Taxes
4.1 Payment Processing Mechanism
ZeroBill facilitates UPI payments via third-party Payment System Providers (PSPs), regulated banking and payment partners, and the NPCI infrastructure. The Merchant explicitly authorises ZeroBill to instruct the designated Nodal Bank to collect payments from Customers and settle the net funds into the Merchant's registered and verified bank account.
4.2 Settlement Timeline
ZeroBill endeavours to initiate NEFT settlements on a T+1 basis (the next business day following the transaction). The Merchant acknowledges that settlement times may vary due to bank holidays, NPCI-level outages, regulatory holds, or technical issues beyond ZeroBill's control. ZeroBill shall not be liable for interest claims on delayed settlements where the delay is attributable to such external factors.
4.3 Fees and Deductions
The following deductions apply to settlements:
- Platform Fee: A fee calculated as a percentage of the Cashback or Reward value utilised by the Customer, or as a fixed percentage of the Transaction Value, as mutually agreed in the Commercial Addendum signed during onboarding. This fee shall not exceed 10% of the applicable cashback or reward value unless otherwise agreed in writing.
- GST on Platform Fee: Applicable Goods and Services Tax will be charged on the Platform Fee and deducted prior to settlement.
- TDS (Tax Deducted at Source): ZeroBill will deduct TDS under the Income Tax Act wherever applicable on commissions or fees charged to the Merchant, and issue TDS certificates accordingly.
- Merchant-Borne Cashbacks: Where the Merchant has configured a cashback rate funded from their own margin, the corresponding cashback value will be deducted from the settlement.
4.4 Tax Responsibility
The Merchant is solely responsible for determining, collecting, reporting, and remitting all applicable taxes (including GST and Cess) relating to the sale of goods or services to Customers. ZeroBill acts solely as a technology intermediary and data processor and is not the "seller of record" for any transaction. ZeroBill's Platform Fee invoices will reflect applicable GST for the Merchant's input tax credit purposes.
4.5 Right of Set-Off and Lien
ZeroBill reserves the right to withhold, set off, or deduct any amounts lawfully owed by the Merchant to ZeroBill — including unpaid subscription fees, fraud penalties, chargeback recoveries, or refund liabilities — from the daily or periodic settlements otherwise payable to the Merchant. ZeroBill will provide the Merchant with reasonable notice of any such set-off.
5. Fraud Prevention and Risk Management
5.1 Zero-Tolerance Policy
ZeroBill employs automated algorithms and human review to detect fraudulent activity. The Merchant is strictly prohibited from:
- Cash Recycling: Creating fictitious transactions using the Merchant's own UPI accounts or those of associates to artificially inflate sales figures or generate rewards.
- Split Transactions: Intentionally splitting a single bill into multiple smaller receipts to generate multiple cashback credits or scratch-card rewards for any single Customer visit.
- Collusion: Coordinating with Customers, staff, or third parties to defraud the cashback system, including accepting payments of incorrect amounts or providing false receipts.
- Data Manipulation: Altering, falsifying, or inflating item descriptions, quantities, or values in billing data transmitted to the ZeroBill Platform.
5.2 Consequences of Fraud
In the event ZeroBill has reasonable grounds to suspect fraudulent activity, ZeroBill may, at its sole discretion:
- Freeze settlement funds for a period of up to 180 days pending the completion of an internal investigation.
- Levy a financial penalty of up to 10 times the estimated value of the fraud.
- Terminate this Agreement immediately and without further notice.
- Report the Merchant to relevant law enforcement agencies, regulatory bodies, and the shared "Negative List" maintained among payment aggregators and banks in India.
- Initiate legal proceedings under the Indian Penal Code, the Information Technology Act, 2000, and the Prevention of Money Laundering Act, 2002.
6. Confidentiality and Proprietary Rights
6.1 Confidential Information
The Merchant acknowledges and agrees that the following constitute "Confidential Information" of ZeroBill: the Platform's software architecture and algorithms, commission and fee structures, Customer data accessible through the Merchant Dashboard, product roadmaps, marketing strategies, and the contents of this Agreement and any Commercial Addendum.
The Merchant shall not disclose any Confidential Information to any competitor, third party, or the public without ZeroBill's prior written consent, and shall take all reasonable steps to protect it from unauthorised disclosure. This obligation survives termination of this Agreement for a period of three (3) years.
6.2 Intellectual Property
ZeroBill retains full and exclusive ownership of all rights in the Platform, including all software, algorithms, databases, branding, design elements, and documentation. The Merchant agrees not to:
- Remove, obscure, or alter any copyright, trademark, or proprietary notice from the App, signage, or any ZeroBill materials.
- "Frame" or "mirror" any part of the ZeroBill Platform or embed its content within the Merchant's own website or application without express written consent.
- Use any automated tool, robot, spider, or scraper to monitor or copy ZeroBill web pages, dashboards, or data.
- Use ZeroBill's name, logo, or trademarks in any marketing, signage, or communication except in the manner expressly permitted by ZeroBill for the purpose of promoting the ZeroBill partnership at the Merchant's store.
7. Indemnification
The Merchant agrees to indemnify, defend, and hold harmless ZeroBill, its directors, officers, employees, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Product Liability: Any claim by a Customer or third party regarding the quality, safety, fitness, or legality of the goods or services sold by the Merchant.
- Breach of Agreement: Any violation by the Merchant of any term of this Agreement or any Applicable Law.
- Tax Non-Compliance: Any failure by the Merchant to pay applicable GST, income tax, or other statutory dues in relation to their business.
- IP Infringement: Any claim that the Merchant's trade name, logo, content, or product descriptions infringe the intellectual property rights of any third party.
- Data Misuse: Any unauthorised use or disclosure by the Merchant of Customer data accessible through the ZeroBill Platform.
8. Term and Termination
8.1 Term
This Agreement commences on the Effective Date and continues for an initial period of one (1) year ("Initial Term"). It shall automatically renew for successive one-year periods unless either party provides written notice of non-renewal at least 30 days before the end of the then-current term.
8.2 Termination for Cause
ZeroBill may terminate this Agreement immediately by written notice (email to the registered address is sufficient) if:
- The Merchant breaches any material term of this Agreement (including non-payment of fees or any act of fraud) and fails to remedy such breach within 7 days of receiving written notice.
- The Merchant enters into bankruptcy, liquidation, insolvency proceedings, or makes a general assignment for the benefit of creditors.
- The Merchant engages in activities that, in ZeroBill's reasonable assessment, damage ZeroBill's brand reputation, goodwill, or relationships with Customers, other merchants, or banking partners.
- A regulatory or governmental authority directs ZeroBill to cease providing Services to the Merchant.
8.3 Termination for Convenience
Either party may terminate this Agreement without cause by providing 30 days' written notice to the other party.
8.4 Effect of Termination
Upon termination or expiry of this Agreement:
- All licences granted to the Merchant under this Agreement shall immediately and automatically cease.
- The Merchant must uninstall the ZeroBill Plugin and return all ZeroBill hardware (including QR Code Stands) within 7 business days. Failure to return hardware within this period may result in a deduction of the hardware's replacement cost from any pending settlement.
- ZeroBill will settle any outstanding legitimate dues owed to the Merchant after a 90-day hold period, which is maintained to account for potential chargebacks, Customer refund claims, or fraud investigation outcomes.
- Obligations relating to confidentiality, indemnification, and governing law shall survive termination.
9. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ZEROBILL PROVIDES THE PLATFORM "AS IS" AND "AS AVAILABLE." ZEROBILL EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ZEROBILL DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, FREE OF VIRUSES, OR THAT ANY SPECIFIC BUSINESS OUTCOMES (SUCH AS INCREASED CUSTOMER FOOTFALL, REVIEW VOLUME, OR SALES) WILL BE ACHIEVED THROUGH USE OF THE PLATFORM.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZEROBILL'S TOTAL AGGREGATE LIABILITY TO THE MERCHANT FOR ANY CLAIMS ARISING UNDER OR IN CONNECTION WITH THIS AGREEMENT SHALL NOT EXCEED THE TOTAL PLATFORM FEES ACTUALLY PAID BY THE MERCHANT TO ZEROBILL IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. ZEROBILL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFIT, LOSS OF REVENUE, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY, EVEN IF ZEROBILL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11. Severability
If any provision or portion of any provision of this Agreement is held to be illegal, invalid, or unenforceable by a court of competent jurisdiction, the validity and enforceability of the remaining provisions shall not be affected. The parties agree to replace any invalid provision with a valid provision that most closely approximates the intent and economic effect of the original.
12. Governing Law, Jurisdiction, and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the substantive and procedural laws of Karnataka, India, without regard to conflicts of law principles.
- Escalation: Either party shall first attempt to resolve any dispute through good-faith negotiation for a period of 30 days from written notice of the dispute.
- Arbitration: If the dispute is not resolved through negotiation, it shall be referred to a sole arbitrator mutually agreed upon by the parties, or appointed in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Bengaluru, Karnataka. Proceedings shall be conducted in English.
- Jurisdiction: For disputes not subject to arbitration, both parties submit to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.
13. Changes to This Agreement
ZeroBill reserves the right to modify this Agreement at any time. The Merchant will be notified of material changes via email to their registered address or via a prominent notice in the Merchant Panel. Continued use of the Platform following the effective date of any such changes shall constitute the Merchant's acceptance of the revised Agreement.
14. Entire Agreement
This Agreement, together with any applicable Commercial Addendum and ZeroBill's Privacy Policy, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements, understandings, negotiations, and discussions — whether oral or written — between the parties relating to the same.
PART II — MERCHANT PRIVACY POLICY
1. Introduction
This Merchant Privacy Policy ("Policy") describes how ZBT Innovations Private Limited ("ZeroBill") collects, uses, processes, stores, and shares data pertaining to Merchants and their Authorised Users when they access and use the ZeroBill Ecosystem.
This Policy is drafted in compliance with the Digital Personal Data Protection Act, 2023 (DPDP Act), the Information Technology Act, 2000, and the Prevention of Money Laundering Act, 2002 (PMLA). By registering as a Merchant on ZeroBill, you consent to the data practices described in this Policy.
2. Data We Collect from Merchants
2.1 Know Your Customer (KYC) and Business Identity Data
Collected at the time of onboarding and used for identity verification, legal compliance, and payment settlement:
- Business name, trading name, and legal entity type (Pvt Ltd, Partnership, Sole Proprietorship)
- Registered business address and store location(s)
- GSTIN, PAN (business and/or proprietor)
- Bank account details (account number, IFSC code) for settlement
- Authorised signatory name, designation, and contact information
2.2 Transaction Metadata
Granular details of every receipt generated through the Platform, including SKU codes, product descriptions, quantities, unit prices, applicable tax rates, discount values, and total transaction amounts. This data is the foundation of the digital receipt feature and the Merchant analytics engine.
2.3 Operational and Behavioural Data
Interaction patterns with the Merchant Dashboard, feature usage statistics, click-stream data, support ticket history, and chat logs. This data is used to improve the Platform and to provide contextual customer support.
2.4 Device and Technical Data
For the ZeroBill Business App: device model, operating system, unique device identifiers, IP address, and mobile network information. Device permissions accessed include Camera (for QR code scanning), Storage (for saving and sharing reports), and Location (for verifying store coordinates and enabling geo-targeted features).
3. How We Use Merchant Data
3.1 Service Delivery
To provide all features of the ZeroBill Ecosystem, process settlements, generate analytics, run campaigns, and deliver customer support.
3.2 Aggregated Industry Analytics
ZeroBill may anonymise and aggregate the Merchant's sales data with that of other merchants to generate de-identified industry reports and retail trend analyses (e.g., "FMCG purchase trends in Bengaluru's South Zone"). This aggregated data cannot be used to identify any individual Merchant or transaction.
3.3 Targeted Brand Advertising
The Merchant explicitly grants ZeroBill the right to use transaction metadata (for example, "This store sells premium chocolates") to enable CPG Brands, FMCG companies, and other advertisers to run targeted promotional campaigns or cashback offers within the ZeroBill Consumer App at or near the Merchant's store. This is a core part of the ZeroBill platform's value proposition — brand-funded cashbacks can be offered to Customers at no cost to the Merchant's own margin.
3.4 Credit Scoring and Financial Products
ZeroBill may, strictly upon the Merchant's explicit request and separate written consent, share transaction volume and business performance data with financial institution partners (NBFCs or scheduled banks) to facilitate the assessment of the Merchant's eligibility for business loans or credit lines. ZeroBill will not share this data for credit purposes without an affirmative opt-in.
3.5 Platform Improvement and Security
To identify usage trends, test new features, diagnose technical issues, monitor for fraud, and improve the overall reliability and effectiveness of the Platform.
4. Data Sharing and Disclosure
- Service Providers: ZeroBill may share Merchant data with trusted third-party processors (such as cloud hosting providers, regulated payment aggregators, and banking partners) who are contractually bound to process data only on ZeroBill's instructions.
- Legal Compliance: ZeroBill may disclose Merchant data to government authorities, regulators, courts, or law enforcement where required by Applicable Law — including for tax audit, anti-money laundering, or fraud investigation purposes.
- No Sale of Merchant Data: ZeroBill does not sell Merchant business data or KYC information to third parties.
5. Data Retention
In compliance with the PMLA, Income Tax Act, and DPDP Act, data is retained as follows:

6. Cookies and Tracking Technologies
The ZeroBill Merchant Panel (web dashboard) uses the following categories of cookies:
- Essential Cookies: Required for session management, login authentication, and security protection (including CSRF token protection). These cannot be disabled without affecting core functionality.
- Analytics Cookies: Used to understand how Merchants navigate and use the Dashboard (e.g., Google Analytics). These help us identify usability issues and improve the interface.
- Functional Cookies: Used to remember Merchant preferences such as language settings, default report time periods, and dashboard layout choices.
Merchant users may control cookie preferences through their browser settings. Please note that disabling Essential Cookies will impair the ability to use the Merchant Panel.
7. Data Security
ZeroBill implements industry-standard security practices to protect Merchant data, including:
- Encryption of all data in transit using SSL/TLS protocols
- Encryption of sensitive data (KYC documents, bank details) at rest
- Role-based access controls restricting internal access to Merchant data on a need-to-know basis
- Regular security audits and vulnerability assessments
While ZeroBill takes every reasonable precaution, no digital platform can guarantee absolute security against all forms of cyber-attack. Merchants are advised to maintain strong passwords for their Merchant Panel accounts and to promptly notify ZeroBill of any suspected unauthorised access.
8. Merchant Rights Under the DPDP Act
As a Data Principal under the DPDP Act, 2023, Merchants (to the extent they are natural persons or sole proprietors whose personal data is processed) have the following rights:
- Right to Access: Request a summary of the personal data ZeroBill holds about you and how it is being processed.
- Right to Correction: Request correction of any inaccurate or outdated personal data.
- Right to Erasure: Request deletion of personal data, subject to any legal retention obligations (such as those under the PMLA or Income Tax Act).
- Right to Grievance Redressal: Raise any complaint or concern with ZeroBill's Grievance Officer.
9. Grievance Redressal Officer
Pursuant to the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023, the details of ZeroBill's designated Grievance and Compliance Officer are as follows:

All disputes arising out of this Privacy Policy or the Master Service Agreement shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, and to the arbitration mechanism set out in Part I, Section 12 of this Agreement.
